These Terms & Conditions apply to your use of toddyai.com and to enquiries, applications, briefs, services, and digital deliverables provided by Toddy AI.

By using this website, submitting a form, purchasing a service, or engaging Toddy AI, you agree to these terms.

Toddy AI provides services including:

• AI influencer creation 
• synthetic spokesperson content 
• UGC-style creative assets 
• training and educational content 
• project discovery and character profile briefs 
• related creative and consulting services 

All services are custom and may vary based on the agreed scope of work.

Submitting an enquiry, application, or character profile does not guarantee acceptance of a project.

We may accept, decline, or request further information before agreeing to provide services.

Any quote, proposal, package, or scope we provide is based on the information available at the time.

If the scope changes after approval, we may revise pricing, timelines, deliverables, or other project terms.

For one-off build packages, our standard payment terms are:

• 50% upfront to confirm the project and begin work 
• 50% before final delivery of the agreed assets 

For larger or custom projects, we may use milestone payments, for example:

• 50% upfront 
• 25% at midpoint 
• 25% before final delivery 

For monthly retainers:

• fees are paid upfront each month 
• work for that period begins after payment is received 

Unless otherwise agreed in writing, all invoices must be paid by the due date stated on the invoice.

Deposits secure your place in our workflow and cover discovery, planning, creative direction, and production time.

Once work has started, deposits are generally non-refundable, except where required by law.

Final files, final assets, or final project handover will be provided after final payment has been received in full.

We may share previews, drafts, or watermarked versions before final payment.

Unless otherwise agreed, your package includes only the revisions stated in your proposal or package details.

Additional revisions, new concepts, or changes outside the agreed scope may incur extra fees.

Project timelines depend on scope, responsiveness, revision rounds, and timely receipt of required information or approvals.

We are not responsible for delays caused by:

• late feedback 
• missing materials 
• changes in scope 
• delayed approvals 
• events outside our reasonable control 

You agree to provide accurate information, timely feedback, and any materials reasonably needed to complete the project.

You are responsible for reviewing deliverables and providing clear approval or revision feedback within a reasonable time.

If you complete a Character Profile, application form, or project brief, you confirm that the information you provide is accurate to the best of your knowledge and that you have the right to provide any materials or references you submit.

Unless otherwise agreed in writing:

• Toddy AI retains ownership of its methods, workflows, prompts, templates, and internal processes 
• you receive the agreed usage rights to the final deliverables once full payment has been made 
• draft materials, unused concepts, and internal working files remain the property of Toddy AI unless expressly included in the scope 

You must not reproduce, resell, or distribute Toddy AI’s internal templates, training materials, or process documents unless we agree otherwise in writing.

Our work may involve third-party platforms, software, or services.

We are not responsible for:

• outages or changes on third-party platforms 
• platform policy changes 
• account issues on services you control 
• future changes to third-party tools after delivery 

We do not guarantee specific commercial outcomes, audience growth, engagement, brand deals, revenue, or campaign results.

Results depend on many factors outside our control, including market conditions, platform performance, content strategy, offer quality, and ongoing execution.

The educational and informational content on this website is general in nature and is not legal, financial, or professional advice.

You should obtain your own advice before relying on any information for legal, business, or compliance decisions.

Nothing in these terms excludes, restricts, or modifies rights you may have under Australian Consumer Law.

Where consumer guarantees apply, you may be entitled to remedies such as repair, replacement, refund, or cancellation depending on the nature of the problem. Consumer guarantees apply in addition to any extra promises or warranties a business gives. 

If you cancel or pause a project after work has started:

• amounts already paid may be retained for work completed and time allocated 
• any remaining balance may be adjusted based on work completed to date 
• paused projects may need to be rescheduled based on future availability 

To the maximum extent permitted by law, Toddy AI is not liable for indirect, incidental, special, or consequential loss arising from the use of the website, the services, or any deliverables.

Where liability cannot be excluded by law, it is limited to the remedies available under applicable law.

We may update these Terms & Conditions from time to time. The latest version will be published on this page with an updated effective date.
